1. Agreement to Terms
Welcome to Alkimi AI. By accessing or using our service available at https://alkimi.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Use License
Permission is granted to temporarily use the Alkimi AI service for personal, non-commercial use only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials except as required for normal service operation;
- Use the materials for any commercial purpose;
- Attempt to decompile or reverse engineer any software contained in Alkimi AI;
- Remove any copyright or other proprietary notations from the materials;
- Transfer the materials to another person or "mirror" the materials on any other server.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by Alkimi AI at any time.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account by contacting [email protected].
4. Content
Our Service allows you to upload, process, store, share, and otherwise make available certain information, text, files, or other material ("Content").
You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.
You represent and warrant that:
- The Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms;
- The posting and processing of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
5. Prohibited Uses
You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates any applicable national or international law or regulation;
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent;
- To impersonate or attempt to impersonate Alkimi AI, an Alkimi AI employee, another user, or any other person or entity;
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Alkimi AI or users of the Service;
- To generate, store, or transmit content that is illegal, harmful, abusive, harassing, threatening, defamatory, obscene, racially or ethnically offensive, or otherwise objectionable.
6. Data Processing Addendum
This Data Processing Addendum ("DPA") forms part of the Terms of Service and applies when Alkimi AI processes Customer Data on your behalf.
- Definitions: "Customer Data" means any personal data that Alkimi AI processes on behalf of you, the customer, in connection with the Service. "Data Protection Laws" means all applicable data protection and privacy laws, including GDPR and FERPA.
- Roles and Responsibilities: You are the "Data Controller" and Alkimi AI is the "Data Processor" for Customer Data. We will only process Customer Data in accordance with your lawful instructions to provide the Service.
- Security Measures: We will implement and maintain appropriate technical and organizational security measures to protect Customer Data, as detailed in our Security & Data Privacy documentation.
- Sub-processors: You consent to us using sub-processors (e.g., cloud infrastructure providers, LLM providers) to provide the Service. A list of our current sub-processors is available in our Privacy Policy, and we will ensure they are bound by data protection obligations comparable to those in this DPA.
- Data Subject Rights: We will assist you, where possible, in fulfilling your obligation to respond to requests from data subjects to exercise their rights under Data Protection Laws.
7. FERPA Considerations
For higher education institution customers, we are actively working towards ensuring our service can be used in a manner consistent with the Family Educational Rights and Privacy Act ("FERPA"). When higher education institutions use our service, the institution acts as the custodian of student education records, while students (who are typically adults) retain their FERPA rights. We process student data only as directed by the institution and are building our platform with student privacy protections in mind.
8. Service Modifications
Alkimi AI reserves the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
9. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us.
10. Limitation of Liability
In no event shall Alkimi AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws applicable in your jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
